Terms for a residential routing network.
1. Scope and Acceptance
These Terms govern your access to NetShare websites, dashboard, APIs, contributor software, and enterprise traffic routing services (collectively, the "Service"). By creating an account, clicking acceptance, or using the Service, you agree to be bound by these Terms.
2. Eligibility and Account Responsibilities
You must have legal capacity to enter a binding contract and provide accurate registration information. You are responsible for all activity under your account, protecting credentials, and promptly notifying NetShare of unauthorized access or security incidents.
3. Service Description
NetShare operates a network where contributors may provide eligible residential bandwidth capacity and enterprise customers may route traffic under purchased plans, trial quotas, or prepaid wallet balance, subject to service availability and policy controls.
- Enterprise trial allocations are limited and may be modified, paused, or discontinued.
- Routing availability depends on contributor supply, geo coverage, compliance checks, and technical constraints.
- Service features may evolve over time, including APIs, dashboard modules, and traffic controls.
4. Billing, Wallet Credits, and Taxes
Enterprise usage may be billed through prepaid wallet balance, supported payment processors, and approved settlement methods. You authorize NetShare and payment partners to process charges and reconcile completed orders to your account.
- Credits, promotions, and trial quotas have no cash value unless expressly stated.
- Fees are exclusive of taxes, duties, and levies unless otherwise stated on invoice.
- You are responsible for any tax reporting and payment obligations applicable to your jurisdiction.
5. Refunds and Chargebacks
Except where required by law, completed usage, consumed bandwidth, and settled wallet credits are non-refundable. Fraudulent or unjustified chargebacks may result in account suspension, reversal of credits, and recovery actions.
6. Intellectual Property and License Limits
NetShare and its licensors retain all rights, title, and interest in the Service, including software, trademarks, API schemas, and documentation. You receive a limited, revocable, non-transferable license to use the Service in compliance with these Terms.
7. Acceptable Use and Prohibited Conduct
You must use NetShare lawfully, ethically, and in a manner that does not harm individuals, organizations, infrastructure, or the network ecosystem.
- No unauthorized access, credential stuffing, account takeover, exploitation, or evasion of access controls.
- No malware distribution, phishing, spam campaigns, deceptive automation, or illegal surveillance activity.
- No use that violates sanctions, export controls, privacy law, consumer protection, or third-party platform terms.
- No resale, sublicensing, or routing for prohibited verticals without explicit written authorization.
8. Contributor Capacity and Compensation
Contributor participation is performance-based and subject to network demand, quality metrics, policy compliance, and anti-fraud validation. Any displayed estimates are informational and not guaranteed returns or investment commitments.
8.1 Measurement and Settlement
NetShare may apply validation, filtering, and quality coefficients when calculating billable traffic and contributor compensation, including adjustments for invalid, duplicate, abusive, or non-compliant traffic.
8.2 Program Changes
Compensation formulas, multipliers, payout schedules, and qualification thresholds may change with notice in dashboard, policy update, or legal announcement.
9. Enterprise Routing Terms
9.1 Permitted Use Cases
- Ad verification, brand protection, and anti-fraud analysis.
- Public web data collection where lawful and contractually permitted.
- Application QA, localization testing, and geo-validation workflows.
9.2 Restricted Use Cases
- Intrusion, credential theft, surveillance abuse, or exploitation of protected systems.
- Processing special-category personal data without legal basis and required safeguards.
- Any operation likely to expose contributors or third parties to legal, safety, or reputational harm.
10. Suspension and Termination
NetShare may suspend, throttle, or terminate access for policy breaches, security threats, legal exposure, unpaid balances, sanctions concerns, or misuse of trial/credit mechanisms. We may also remove or preserve data as required by law or investigation.
11. Warranties Disclaimer
To the fullest extent permitted by law, the Service is provided "as is" and "as available" without express or implied warranties, including merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, or error-free performance.
12. Limitation of Liability
To the maximum extent permitted by law, NetShare and its affiliates are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost revenue, data loss, business interruption, or reputational harm arising from use of the Service.
13. Indemnification
You agree to defend, indemnify, and hold harmless NetShare, its affiliates, officers, and employees from claims, liabilities, losses, and expenses (including reasonable legal fees) arising from your misuse of the Service, legal violations, or breach of these Terms.
14. Governing Law, Arbitration, and Class Action Waiver
Unless otherwise required by applicable law or a separately executed enterprise agreement, disputes will first be handled through good-faith negotiation. If unresolved, disputes may be submitted to binding confidential arbitration on an individual basis, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
15. Export Controls and Sanctions
You may not use or access the Service if you are located in, organized in, or ordinarily resident in a jurisdiction subject to comprehensive sanctions, or if you are a restricted party under applicable export control or sanctions laws. You agree not to route or process activity that would violate export controls or trade restrictions.
16. Force Majeure
NetShare is not liable for delay or failure caused by events beyond reasonable control, including infrastructure outages, internet backbone disruption, war, terrorism, labor disputes, utility failures, cloud provider incidents, natural disasters, or regulatory actions.
17. Changes to Terms
We may revise these Terms to reflect legal, technical, or business changes. Material updates may be posted on the website or dashboard. Continued use after an effective update date constitutes acceptance of the revised Terms.
